I – Binding Agreement

These Terms and Conditions constitute the entire and sole agreement between Innovative Electronic Solutions, LLC (referred to as Dr. Duino, the Company, or We) and you (the User or the Client) regarding your use of this website, our products, user manuals, learning materials, and all other services provided by us, including but not limited to online videos, tutorials, demonstrations, and similar resources. This agreement applies to all subdomains of drduino.com.

Please read this entire agreement carefully before choosing to do business with us. By using our website, our products, or our services, you acknowledge and agree without reservation to all terms contained in this agreement. If you are a minor and have not reached the legal age of consent, you must refrain from using our website, products, and services unless you are under the supervision of your parent or legal guardian.

These Terms and Conditions may be updated or revised at any time. We may make changes without providing individual notice. Any updated version will be binding once posted on this page. It is your responsibility to review this page periodically to stay informed of the most current version. Your continued use of our website, products, or services after updates are posted constitutes acceptance of the revised Terms.

All updates or revisions to these Terms and Conditions apply to all users, including users who purchased products or gained access to services before the update date. By continuing to access or use any Dr. Duino website, digital product, or training material after the updated Terms are posted, you agree to be bound by the revised Terms. If you do not agree with the updated Terms, you must discontinue all use of our products and services.

You understand that your purchase of any product or service does not guarantee that the Terms and Conditions in place at the time of purchase will remain unchanged.

II – Products and Services Description

Dr. Duino provides digital training and educational materials as they relate to Artificial Intelligence, electronics, and coding. This includes but is not limited to embedded system projects created to sense and react to internal or external inputs or outputs, embedded system projects created to sense and react to inputs or outputs generated by external components, and embedded system projects designed to simulate and generate inputs or outputs. We also provide various communities and forums for consumer participation.

In addition, Dr. Duino offers training courses, programs, and educational products related to Artificial Intelligence that may use third party AI platforms such as ChatGPT by OpenAI. Dr. Duino is not affiliated with or endorsed by OpenAI or any other AI provider. By signing up for any AI related product, you acknowledge that some modules may require a paid subscription to the third party AI service being demonstrated. Dr. Duino has no control over the pricing, access rules, or features of any third party AI platform. Your membership and use of those AI platforms are separate from Dr. Duino and remain your responsibility. You are not required to sign up for any paid AI platform in order to watch or participate in our training, although doing so may be helpful for applying what you learn.

Additional Terms for AI Related Products

1. No Guarantees of Results
Examples, demonstrations, workflows, prompts, and strategies taught in AI related products are for educational purposes only. Dr. Duino does not guarantee any specific outcome, financial result, business improvement, performance result, or success from using the information provided.

2. Responsibility for AI Output
AI systems can produce inaccurate, incomplete, biased, or unpredictable responses. Dr. Duino does not control or influence the output of third party AI systems and is not responsible for any actions you take based on AI generated content. You agree to verify information and use your own judgment before acting on any AI output.

3. Not Professional Advice
Content related to AI is general education only and should not be taken as legal, financial, medical, or professional advice. You agree to consult qualified professionals where appropriate before making decisions in those areas.

4. Third Party Accounts and Costs
You are solely responsible for creating and maintaining accounts with any third party AI platform used in the training and for paying any associated fees. Prices, features, and access rules for those platforms may change at any time, and Dr. Duino has no control over such changes.

5. Changes in AI Tools
AI platforms evolve rapidly. Features shown in training materials may be updated, modified, or removed by third party providers. Dr. Duino does not guarantee that any feature demonstrated in a course will continue to exist or operate the same way in the future.

6. Proper Use and Compliance
You agree to use AI tools responsibly and to follow all laws, regulations, and the terms of service of the AI platform you choose to use. You are fully responsible for how you use or apply the information taught in the courses.

7. Limitation of Liability
To the fullest extent permitted by law, Dr. Duino is not liable for any loss, damages, claims, or consequences arising from your use of AI tools, reliance on AI generated outputs, or interactions with third party AI platforms. All use is at your own risk.

8. Educational Use Only
All AI related materials are intended to teach concepts and methods. They are not intended to replace your own work or provide professional level recommendations or decision making.

Dr. Duino reserves the right to suspend the availability of its products and/or services without prior notice and at its sole discretion. The provision of goods and services prolonged over time is not to be intended as a supply contract and you should not have an expectation that Dr. Duino will be able to fulfill your requests or expectations at a future time. We reserve the right to refuse service to any user, customer, or visitor, and we also reserve the right to limit the quantity of your orders without prior notice.

By placing an order you commit yourself to use our products and services in a lawful manner obeying all applicable international, federal, state, and local laws.

By subscribing to our services, you agree not to share your log in credentials with any third parties. You agree not to share your user ID, password, discount coupons or codes, and you also agree to use our products and services for personal use only.

In other words, without our consent, you may not share what you get from us. Failure to do so may result in the immediate termination of your membership/subscription and you waive your right to request a refund.

III – Limitation of Liability and No Warranty Policy

PLEASE, BE SURE YOU UNDERSTAND THE FOLLOWING SECTION AS IT CONSTITUTES A NO RESPONSIBILITY DISCLAIMER. If you have any doubts regarding the meaning and/or the practical application of the following provisions, we suggest you contact us at customerservice@drduino.com, or an experienced attorney.

Notwithstanding the use of commercial names such as “For Beginners” or “Pioneers”, the services and the products provided by Dr.Duino are intended for the use of people who have knowledge in electrical/electronic engineering, and those who have experience in the field of embedded systems.

Misuse, alteration, and/or modification of our products and its components may cause short circuits, fire, and/or explosions, and result in severe bodily harm, death, and/or property damage. Our projects rely on the end users ability to solder and follow directions. Errors which arise from the end users inability to follow directions are the sole responsibility of the end user.

It is extremely important to understand that a proper use of our projects does not entirely exclude the risk of short circuits, fire, and/or explosions. Our user manuals, tutorials, demonstrations, webinars, and all other instructions provided by us are meant to reduce these risks as much as possible, but you should always keep in mind that severe bodily harm, death, and/or property damage may occur. IF YOU DECIDE TO USE OUR PRODUCTS OR SERVICES YOU DO SO AT YOUR OWN RISK. Please, be careful and use common sense.

We strongly advise you to use proper protective equipment when using any of our products including but not limited to eye protection and proper ventilation when soldering.

Our products and projects are not toys and they are not intended to be used by people under the age of 18. Persons under the age of 18, should only use our products and services with a supervising adult. Persons who do not have knowledge in electrical/electronic engineering, should refrain from using our products and services unless properly supervised. Your safety is your own responsibility!

Our products or services are intended for recreational use only. We do not approve the use of our products or services for medical purposes as medical appliances or life-support devices. We will not be responsible for any inappropriate uses of our services or products.

In compliance with the Children Online Privacy Protection Act (COPPA), it is not our intent to collect data from users under the age of 13 and all the users using our services should refrain from doing so as well.

AI Related Disclaimer
Dr. Duino provides educational content that may involve the use of artificial intelligence tools operated by third party companies such as OpenAI. AI systems can produce incorrect, incomplete, unpredictable, biased, or unexpected output. You understand and agree that Dr. Duino does not control the behavior, responses, reliability, accuracy, uptime, or availability of any third party AI platform. IV – Shipping Arrangements  

Dr.Duino DOES NOT ship any product to the end user. All projects obtained from Dr.Duino include a parts list which in which parts can be obtained from sources including but not limited to Amazon. Dr.Duino has no control the quality of products shipped from Amazon and as such it is the responsibility of the customer to determine if the product obtained from sources such as amazon are fit for use. See section XIV for more details.

V – Returns, Exchanges, and Refunds

Dr.Duino only offers digitally delivered products, as such we DO NOT offer ANY refund, returns or exchanges of any kind. When you purchase ANY of our digital products including but not limited to Dr.Duino’s Maker Academy, you understand and agree that there shall be NO refunds after purchase.

However, you may cancel your subscription to our services at any time and retain access to contents within the Academy until the end of your current billing cycle. You are able to cancel or modify your subscription at anytime by logging into our online portal at any time.

We hope you will be happy with the products and the services we provide, but if you are not, you may unsubscribe from our services, mailing list, promotional e-mails, and the like, at any time.

VI – External Website Links

Our website contains external links to other websites which are not under the control of Dr. Duino.

With the exception set forth in the Section VII (Association with Amazon.com, Inc.), Dr. Duino is not affiliated or in any way associated with the other companies whose websites are accessible through those external links. Dr. Duino does not endorse, certify, approve, or control those external websites.

Dr. Duino shall not be held liable and will not bear any responsibility with respect to the content of those websites, the accuracy of the information therein contained, the legality of the same content, and any other link that those pages might contain.

Our website allows the users to post, upload, submit and publish text, video text, images, audio, and the like. You are solely responsible for the material you choose to display on our website. Our website is intended to be a public platform that serves an online community where the users are free to publish content. As such, ideas and opinions displayed on our website do not reflect our personal ideas and opinions. We do not endorse the users’ opinions and we will not be deemed responsible for any prohibited speech including, but not limited to, obscenity, fighting words, incitement to suicide, hate speech, and the like.

Albeit Dr. Duino does not review the content you choose to display on the website, Dr. Duino reserves the right to remove any of your content at any time and without notice.

From time to time, we hold meetings either virtual or in person, in which a person may be recorded. We often times use software platforms such as, but not limited to zoom. In the event that the meetings are recorded, please be aware that any material you share: any part of your name and/or video feed which contains video/images/identity (e.g. first/last name) of the participant will be captured and stored permanently.

By attending these events, you are granting us irrevocable usage of any material recorded to be used in away way we deem fit which includes redistribution onto any medium we desire. Should you prefer to not be recorded, you should not attend any of these events.

IX – Access to the Website

Dr. Duino reserves the right to limit or block certain users from accessing the website or certain website resources or content. Access to our website may be temporarily or indefinitely interrupted as a result of maintenance, repair, equipment malfunction, change of domain name, or any other reason that Dr. Duino may deem appropriate, without prior notice and at its sole discretion.

Should an interruption occur, under no circumstance will the Company be liable for your business interruption, lost profits, lost opportunities, and the like. Dr. Duino will not be responsible for any damages arising out of your inability to use our websites, or to place an order for our products or services.

X – Promotions, Discounts, Free Samples   

Dr. Duino reserves the right to promote its services and products by way of free samples and applying discounts to targeted customers or the public at large. Said promotions, discounts, and free sample will take place from time to time according to our marketing strategies and they are not intended to discriminate those who have bought the same services or products at full price. Said promotions are generally available for a limited time and should not generate any expectation regarding the price of services or products that will be sold in the future time.

XIV – Project Recipes

Many of Dr.Duino projects contain what we call a “recipe”. Our recipes are designed to provide the end user with a complete list of parts needed to recreate the project contained within the website. We also provide a detailed list of links in which to purchase the parts from including but not limited to vendors such as Amazon.

It should be noted that the list of parts may contain errors and will be updated without periodically without notice to the end user.

Dr.Duino DOES NOT guarantee that any project we release will work, even when the user purchases the parts we specified and/or the project build plans are followed exactly. This is because Dr.Duino IS NOT providing the end user with parts and as such we DO NOT guarantee that the parts the customer obtains will be fit for use. It is the user’s responsibility to determine if the parts purchased are fit for use. Any and all issues which may arise from purchasing parts from outside vendors must be taken up with that particular vendor directly. Dr.Duino shall NOT be involved in any disputes as it pertains to vendor purchased parts.
During the life of the particular project, we may update the recipe which will occur without notice to the end user. As such it is the users responsibility to ensure you refer back to the website from time to time to check if there are updates and update your project accordingly.
